Before we start, a few formalities. We’ve kept them as slim and simple as possible so that your creative ideas can quickly start to flow.
Your rights as a user
Innolytics® provides you with a free software as a service solution, limited to 15 users. If you are the person who sets up a platform, we will refer to you as platform administrator in the following. You have privileges, but also special duties, in the administration of the software. Persons who are invited by you as a platform administrator to use the software will be referred to as users in the following.
As platform administrator, you are granted the right to create your own software platform via a form and to use it commercially and non-commercially. You may also create several platforms, for example for use in workshops or within the scope of different innovation projects. As platform administrator and user, you are granted the right to enter contributions (inspirations, ideas, postings, etc.), to save related files on the Innolytics® servers, to discuss and evaluate these contributions and to implement them using a structured process. Using the analysis and statistics tool, you can prioritize ideas and contributions based on evaluations and key success indicators.
Login authorization and process
Creating a platform and using the free software requires an orderly registration. There is no claim to the registration of a platform and the use of the software. Innolytics® is entitled to reject registrations and use without specifying reasons.
Responsibilities of platform administrators
When you create a platform for the first time as a platform administrator, an automatic check of the platform name and the available sub-domains (platformname.innolytics.net) will take place. Offending names are not allowed and will be rejected by the system. Also, a large number of sub-domains that obviously violate copyrights and name rights are excluded from registration.
Nevertheless, we cannot exclude the possibility that sub-domains and platform names that are not blocked by the system violate personal rights or trademark rights. As platform administrator, you are responsible for ensuring that no third-party rights are violated in this regard.
In the event of disputes, we will try to settle the dispute in a friendly manner. To this end, Innolytics® is entitled to change or block the sub-domain of a platform that violates the rights of third parties. As a rule, this is done in exchange with the platform administrator. If we are unable to contact you as platform administrator despite several attempts to contact you, we are entitled to change your domain name or delete your platform even without consent.
If you are a platform administrator based within the European Union, you are responsible for personal data in accordance with Article 4(7) of the GPDR. If you are the platform administrator and you are based outside the European Union, we need to inform you that you may have obligations arising from your national data protection laws. If the users of your platform disclose sensitive data about themselves, you as an administrator may be subject to special data protection regulations.
Responsibilities of both platform administrators and users
During the registration process you will be asked to enter a username and password as platform administrator and user. With these data you can log in on the platform after activation of the account and e-mail confirmation. It is your responsibility to ensure that the user name does not violate the rights of third parties, in particular name or trademark rights, and does not offend common decency.
You are responsible for any use and/or other activity carried out using your login data in accordance with legal regulations. The access data, including the password, must be kept secret accordingly and must not be made available to unauthorized third parties.
It is also your responsibility to ensure that access to the Innolytics® software and use of the available services is carried out exclusively by yourself as a user or by persons authorized by you. If there is any reason to fear that unauthorized third parties have obtained or will obtain knowledge of access data, you are required to change your password immediately. Innolytics® must be informed immediately in cases of abuse. Innolytics® is entitled to block access to the SaaS services offered in the event of misuse.
The technology on which the software is based is the sole property of Innolytics®. The software may not be copied, reused, reconstructed and/or decompiled either in whole or in part. The free Innolytics® tool license also does not include the right to sell or distribute the software, to operate it in the name of the user (“white label”) or to sublicense it for a fee.
You are entitled to all copyrights and exploitation rights to the content you have contributed yourself. You are self-responsible for the protection of intellectual property rights (e.g. trademark or patent rights). You are also responsible for assessing the extent to which the submission of ideas and discussion with other users leads to the forfeiture of your own patent rights. Innolytics® assumes no responsibility for this – nor for possible legal disputes between users of the platform.
The images used using the interface to the free Pixabay image database are subject to a Creative Commons License. You, as the user, are responsible for any violation of intellectual property rights in images that you upload yourself. Innolytics® does not check the contents for completeness, correctness, legality, topicality, quality and suitability for a specific purpose.
Innolytics® is allowed to provide platform administrators and users with information about activities on their platform as well as updates and usage advices for the software. Users may restrict notifications by the software to a daily summary or to the receipt of important system messages.
The following activities are prohibited. They can lead to the platform being closed by Innolytics®. Prohibited are
- a use for activities prohibited by the European GDPR (General Data Protection Regulation), your regional data protection laws and other legal regulations (e.g. spam),
- posting of fraudulent content, services and/or products,
- the production and distribution of racist or prohibited content,
- the posting of viruses, Trojans and other harmful files,
- requesting other participants to disclose passwords or personal data for commercial or illegal purposes.
Should you as platform administrator or user become aware of any illegal, abusive, contract-breaching or otherwise unauthorized use of the portal, please contact firstname.lastname@example.org. Innolytics® will then check the matter and take appropriate action if necessary.
If there is a suspicion of illegal or criminal activities, Innolytics® is entitled and, if necessary, also obliged to check activities and, if necessary, take appropriate legal action. This may also include the referral of a case to the public prosecutor’s office.
Termination of Software Use
The deletion of a platform can only be initiated by the platform administrator. The platform deletion can be initiated by sending an email to email@example.com. It is important that the deletion request is sent from the e-mail account with which the platform was requested.
In the case of platform deletion, Innolytics® grants all users registered on the platform 48 hours to save their individual content. Subsequently, these are deleted irrevocably. In the event of disputes between a platform administrator and users regarding the continuation of the platform, Innolytics® may grant the rights of a platform administrator to a user who wishes to continue to operate the platform.
The deletion of a user account can be carried out by the affected user as well as the platform administrator.
Innolytics® reserves the right to terminate the user contract at any time without explanation and prohibit further use of the software. Platforms that have not been used for at least 12 months may be deleted by Innolytics®.
Modifications of services
Innolytics® is entitled at any time to change the services provided free of charge by the software, to make new services available free of charge or against payment, and to discontinue the provision of free services (e.g. closure of the complete offer). When the service is closed, platform administrators and users will be notified several times in advance. They are given time to create backup copies of the data.
Exclusion of liability
Should users suffer damages as a result of the services made available free of charge via the Innolytics® software (including the retrieval of content), Innolytics® is only liable to the extent that the damage is due to the contractual use and only in the case of intent (including fraudulent intent) and gross negligence on the part of Innolytics®.
Innolytics® and its representatives are to be excluded from all claims of third parties, which are based on an illegal use of the SaaS services by the user or with his approval, or which arise in particular from data protection, copyright or other legal disputes. If you as platform administrator or user become aware of the threat of such a violation, you must notify Innolytics® immediately.
The contractual relationship between you and Innolytics® shall be governed by the laws of the Federal Republic of Germany. As far as permissible, Leipzig is agreed upon as place of jurisdiction.
